1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Resezy restaurant management platform and related services (collectively, the "Services") provided by Bridge Byte Tech ("Company," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

Important: Please read these Terms carefully before using our Services. By creating an account or using Resezy, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.1 Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Services under applicable laws
  • Be acting on behalf of a legitimate business entity (if applicable)

1.2 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by email or through the Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

2. Description of Services

Resezy is a cloud-based restaurant management platform that provides:

  • Order management and point-of-sale (POS) functionality
  • Menu and product management
  • Table management and reservations
  • Staff management (attendance, leave, salary)
  • Inventory and stock control
  • Financial reporting and analytics
  • Customer-facing website for online ordering
  • Payment gateway integration
  • AI-powered assistance

2.1 Service Availability

We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access. Services may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency maintenance or security updates
  • Factors beyond our reasonable control

2.2 Service Modifications

We continuously improve our Services and may add, modify, or discontinue features. We will provide reasonable notice for significant changes that may affect your use of the Services.

3. User Accounts

3.1 Account Registration

To access most features of the Services, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Account Types

Account Type Description Responsibilities
Restaurant Owner Primary account holder with full access Overall account management, billing, staff accounts
Manager Staff account with elevated permissions Day-to-day operations, limited settings access
Staff Limited access based on assigned role Specific tasks (orders, kitchen, etc.)

3.3 Account Security

You are responsible for maintaining the security of your account. We recommend:

  • Using a strong, unique password
  • Enabling two-factor authentication when available
  • Regularly reviewing account activity
  • Immediately reporting suspicious activity

4. Subscriptions and Billing

4.1 Subscription Plans

We offer various subscription plans as described on our pricing page. The specific features, limitations, and pricing for each plan are subject to change with notice.

4.2 Free Trial

We offer a 14-day free trial for new users. During the trial:

  • You have access to all features of the selected plan
  • No credit card is required to start
  • Your account will be downgraded to the Free plan after the trial unless you subscribe
  • All data created during the trial will be preserved

4.3 Payment Terms

For paid subscriptions:

  • Payments are due at the beginning of each billing period
  • We accept bKash, Nagad, and bank transfers
  • All prices are in Bangladeshi Taka (BDT) unless otherwise stated
  • Prices are exclusive of applicable taxes

4.4 Refund Policy

We offer a 14-day money-back guarantee for new subscriptions. Refund requests must be submitted within 14 days of the initial payment. Refunds are not available for:

  • Subscription renewals
  • Partial month usage
  • Add-on purchases
  • Accounts terminated for Terms violations

4.5 Plan Changes

You may upgrade or downgrade your plan at any time:

  • Upgrades: Take effect immediately; you pay the prorated difference
  • Downgrades: Take effect at the next billing cycle

5. Acceptable Use

5.1 Permitted Use

You may use the Services only for lawful purposes related to managing your restaurant business operations.

5.2 Prohibited Activities

You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Use the Services for fraudulent purposes
  • Resell or redistribute the Services without authorization
  • Collect user data without consent
  • Send spam or unsolicited communications
  • Impersonate others or misrepresent your affiliation

Warning: Violation of these terms may result in immediate account suspension or termination without refund.

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other content, are owned by Bridge Byte Tech and protected by intellectual property laws. You may not:

  • Copy, modify, or distribute our software or content
  • Reverse engineer or decompile our software
  • Remove or alter any proprietary notices
  • Use our trademarks without written permission

6.2 Your Content

You retain ownership of content you upload to the Services (menu items, images, etc.). By uploading content, you grant us a license to use, store, and display it as necessary to provide the Services.

6.3 Feedback

If you provide suggestions, ideas, or feedback about our Services, we may use them without obligation to you.

7. Data Ownership and Privacy

7.1 Your Data

You own all data you input into the Services, including:

  • Restaurant information and settings
  • Menu items and pricing
  • Customer information and order history
  • Staff records and payroll data
  • Financial records and reports

7.2 Data Processing

We process your data as described in our Privacy Policy. By using the Services, you consent to such processing.

7.3 Data Export

You may export your data at any time through the platform's export features. Upon account termination, we will provide your data upon request for up to 90 days.

7.4 Data Security

We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIDGE BYTE TECH SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or data
  • Business interruption
  • Damages exceeding the fees paid by you in the 12 months preceding the claim

8.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Bridge Byte Tech, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit through the Services

10. Termination

10.1 Termination by You

You may terminate your account at any time by:

  • Contacting our support team
  • Using the account cancellation feature (if available)

Upon termination, your right to use the Services ceases immediately.

10.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activities
  • Pose a security risk to our Services or users

10.3 Effect of Termination

Upon termination:

  • Access to the Services will be disabled
  • Data will be retained for 90 days, then deleted
  • You may request data export within the retention period
  • Accrued payment obligations remain due

11. Dispute Resolution

11.1 Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@resezy.com.

11.2 Governing Law

These Terms are governed by the laws of Bangladesh. Any disputes shall be subject to the exclusive jurisdiction of the courts in Dhaka, Bangladesh.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bridge Byte Tech regarding the Services.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

12.5 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, or acts of civil or military authorities.
